The purchaser\u2019s terms and conditions of purchase or any other deviating, conflicting, or supplementary general terms and conditions shall only become part of the contract if we have expressly agreed to their applicability. Due to possible changes in customs regulations, we reserve the right to pass on additional customs costs in accordance with the applicable rates. These will be invoiced separately. <\/p>\n (2) Individual agreements made with the customer on a case-by-case basis take precedence over these General Terms and Conditions. Subject to proof to the contrary, a written contract or our written confirmation shall be decisive regarding the content of such agreements. <\/p>\n (3) In the event of new customs duties, taxes, fees, or similar additional costs resulting from the United Kingdom\u2019s withdrawal from the European Union, these additional costs shall be borne exclusively by the customer. Due to changes in U.S. customs regulations, we reserve the right to pass on additional customs costs in accordance with the applicable rates. These will be billed separately. Furthermore, we are entitled to terminate this contract in writing if a change in applicable laws regarding additional customs costs in accordance with the currently applicable rates materially alters the circumstances of the contract. Material changes include, but are not limited to: <\/p>\n a) The contractually agreed provision or use of goods or services becomes impossible.<\/p>\n b) If continuing the contract would place a significant and unreasonable financial burden on us<\/p>\n <\/p>\n Our offers are subject to change unless we expressly state otherwise in writing.<\/p>\n <\/p>\n (1) The scope of our obligation to deliver is governed by our written order confirmation; in the event of a binding offer made by us and its effective acceptance, our offer shall apply, provided that no order confirmation has been issued in a timely manner. Any ancillary agreements or amendments require our written confirmation. <\/p>\n (2) Our product information and other documents, such as illustrations, drawings, sketches, and dimensional specifications, do not form part of the contract and are only approximate unless we have expressly designated them as binding.<\/p>\n (3) If, after the submission of a bid, changes are made to the products as part of ongoing technical development, we may deliver the technically modified version. In doing so, we are entitled to deviate from illustrations, drawings, descriptions, colors, dimensions, weights, quality specifications, and other details, provided that such deviations are reasonable for the customer, taking into account the interests of both parties. If we assist the Purchaser in this regard, the Purchaser shall bear the expenses we incur in doing so. <\/p>\n (6) The purchaser shall provide, at its own expense, the utilities required for the installation and operation of our delivery in sufficient quantities and in a non-corrosive form.<\/p>\n (7) To the extent that software is included in our scope of delivery, we grant the purchaser a non-exclusive right to use the delivered software, including its documentation. It is provided for use on the specific item of delivery for which it is intended. Use of the software on more than one system is prohibited. <\/p>\n (8) The customer may reproduce, modify, or translate the software, or convert it from object code to source code, only to the extent permitted by law (Sections 95a et seq. of the Copyright Act).<\/p>\n (9) The purchaser agrees not to remove the manufacturer’s information\u2014in particular, copyright notices\u2014or to alter it without our prior express consent. The purchaser may make two backup copies. <\/p>\n (10) All other rights to the software and documentation, including copies, remain with us or the software supplier. Sublicensing is not permitted. <\/p>\n <\/span><\/p>\n (1) The deliveries and services (performance of the contract) are subject to the condition that there are no obstacles to performance arising from national or international regulations, in particular export control regulations, embargoes, or other sanctions.<\/p>\n (2) The contracting parties agree to provide all information and documentation required for export, shipment, or import. Delays resulting from export inspections or licensing procedures shall suspend the application of deadlines and delivery times. <\/p>\n (3) If the necessary permits are not granted, the contract shall be deemed not to have been concluded with respect to the affected parts; claims for damages are excluded to that extent and due to the aforementioned missed deadlines.<\/p>\n <\/p>\n (1) We reserve all property rights and copyrights to samples, cost estimates, drawings, models, templates, and similar information, whether tangible or intangible\u2014including in electronic form; such information must not be made available to third parties. Copies or other reproductions may be made only for the agreed-upon purpose. Value-added tax at the applicable statutory rate shall be added to the prices, to the extent that it is applicable. <\/p>\n (2) For services rendered more than 4 months after the contract is concluded, we may charge for any increases in labor and\/or material costs that have occurred since the submission of the offer, along with a reasonable overhead surcharge.<\/p>\n <\/p>\n (1) Unless otherwise agreed, payment must be made net, without any deductions, to our paying agent immediately upon receipt of the invoice.<\/p>\n (2) We are not obligated to accept bills of exchange. Any bill-of-exchange charges shall be borne by the purchaser. If a bill of exchange is not honored, all of our claims against the purchaser shall become due immediately. <\/p>\n (3) In the event of late payment, we may charge late-payment interest at a rate of 9 percentage points above the applicable base rate. We reserve the right to prove that we have suffered greater damages. <\/p>\n (4) We may charge EUR 10 for each reminder.<\/p>\n (5) The customer is not entitled to withhold payments or to set off amounts against counterclaims that we dispute.<\/p>\n (6) If, after the conclusion of the contract, it becomes apparent that our right to payment is at risk due to the customer\u2019s inability to pay (Section 321 of the German Civil Code (BGB)), we may refuse to perform and set a reasonable deadline for the purchaser to pay in advance against delivery or to provide security.<\/p>\n (7) If the customer refuses to comply or if the deadline expires without action, we are entitled to withdraw from the contract and claim damages.<\/p>\n <\/p>\n (1) Delivery periods or delivery dates are binding only if they are designated as such in our order confirmation.<\/p>\n (2) The delivery period begins no earlier than the date the order confirmation is sent, but not before receipt of the drawings approved by the customer, approvals for documents to be procured, approvals, and the information required to execute the order; the resolution of all commercial and technical issues between the contracting parties; and the fulfillment of all obligations on the part of the purchaser, such as the payment of an agreed-upon down payment or payments due from earlier deliveries.<\/p>\n (3) If failure to meet the delivery deadline is due to force majeure, labor disputes, or other events beyond our control, the delivery deadline shall be extended accordingly. This also applies if such circumstances arise at our suppliers. If acceptance is required, the acceptance date shall be decisive\u2014except in cases of justified refusal of acceptance\u2014or, alternatively, the notification that the goods are ready for acceptance. <\/p>\n (6) Compliance with the delivery deadline is subject to correct and timely delivery to us by our suppliers.<\/p>\n (7) The purchaser may rescind the contract without setting a deadline if it becomes definitively impossible for us to perform the entire service before the transfer of risk. The purchaser may also withdraw from the contract if, in the case of an order, the performance of a part of the delivery becomes impossible and the purchaser has a legitimate interest in rejecting the partial delivery. If this is not the case, the purchaser must pay the contract price applicable to the partial delivery. The same applies in the event of our inability to perform. In all other respects, Section 12.2 applies. <\/p>\n (8) If, when we are in default\u2014subject to the exceptions provided by law\u2014the purchaser grants us a reasonable period of time to perform and we fail to meet that deadline, the purchaser is entitled to rescind the contract in accordance with the provisions of the law.<\/p>\n (9) Any further claims arising from a delay in delivery shall be governed exclusively by Section 12.2 of these Terms and Conditions.<\/p>\n (10) If shipment or acceptance of the delivered goods is delayed for reasons attributable to the purchaser, we may charge the customer for the costs incurred as a result of the delay, beginning one month after notification that the goods are ready for shipment or acceptance, with a minimum charge of 0.5% of the invoice amount for each month. At the same time, all of our deliveries and services rendered up to that point shall become due for payment. <\/p>\n (11) However, we are entitled, after setting and allowing a reasonable period to elapse without result, to dispose of the delivery item as we see fit and to supply the purchaser within a reasonable, extended period.<\/p>\n (12) Over- or under-deliveries of up to +\/- 10% are permitted for mass-produced goods.<\/p>\n <\/p>\n (1) Risk shall pass to the purchaser no later than when the delivered goods have left the factory, even if partial deliveries are made or if we have assumed other obligations, such as shipping costs or delivery and installation. To the extent that this is relevant to the transfer of risk, acceptance must be carried out immediately on the acceptance date or, alternatively, upon our notification that the goods are ready for acceptance. The purchaser may not refuse acceptance in the event of a minor defect. <\/p>\n (2) We are entitled to insure all shipments against damage in transit at the customer’s expense.<\/p>\n (3) If the shipment shows signs of damage caused during transport upon arrival at the purchaser\u2019s premises, or if such damage becomes apparent later, the purchaser must immediately request a written damage report from the carrier.<\/p>\n (4) If shipment or acceptance is delayed or fails to occur due to circumstances beyond our control, the risk shall pass to the purchaser on the date we notify the purchaser that the goods are ready for shipment or acceptance. The customer must submit a written request to obtain additional insurance at his own expense. <\/p>\n <\/p>\n (1) We reserve title to and the right to dispose of the delivered goods until all payments under the delivery contract and previously concluded contracts have been received. This includes claims arising from checks and bills of exchange, as well as claims arising from current accounts or credit accounts. If, in connection with payment, we become liable under a bill of exchange, this retention of title shall not expire until our liability under the bill of exchange has been excluded. <\/p>\n (2) Until our aforementioned claims have been paid in full, the customer may continue to use the delivered products in the ordinary course of business, unless a prohibition on assignment has been or will be agreed upon with third parties regarding the claims assigned to us in advance pursuant to Section 10.6. Prior to that, pledging or transfer of ownership by way of security is also prohibited, and resale is permitted only to resellers in the ordinary course of business, provided that the reseller receives payment from its customer and promptly forwards it to us. Any costs arising from interventions shall be borne by the purchaser. <\/p>\n (3) The customer must notify us immediately of any attachments, seizures, or other dispositions, as well as any interventions by third parties.<\/p>\n (4) If the purchaser acts in breach of the contract\u2014in particular, in the event of late payment\u2014we are entitled to take back the goods after issuing a reminder, and the purchaser is obligated to surrender them.<\/p>\n (5) Our assertion of the retention of title and our seizure of the delivered goods shall not be deemed a withdrawal from the contract, unless the Installment Sales Act applies.<\/p>\n (6) The purchaser hereby assigns to us, in advance, all claims in the amount of the proportionate portion of our invoice, including value-added tax, along with all ancillary rights, arising from the resale against buyers or third parties. This also applies in the event that the purchaser credits the purchase price claim to which it is entitled from the resale to a running account agreed upon with a buyer or a third party. We accept this assignment. <\/p>\n (7) In the event of combination with real property or movable property belonging to third parties, as well as in the event of processing or treatment under a contract for work and services, the purchaser hereby assigns to us, in advance, the claim for payment of the work and\/or the resulting co-ownership share in the amount of our proportionate invoice amount, including value-added tax, for the goods subject to retention of title that were processed. If the customer impairs our aforementioned rights, the customer shall be liable to us for damages. The costs of disassembly and any other expenses shall be borne by the customer. <\/p>\n (11) If the realizable value of the security interests we hold\u2014either solely by virtue of this retention-of-title provision or in conjunction with other security interests\u2014exceeds our secured claims by more than 10 percent, we are obligated to release security interests of our choice to that extent if the purchaser so requests.<\/p>\n (12) We are entitled to insure the goods to be delivered against theft, fire, water damage, and other damage at the purchaser’s expense, unless the purchaser can provide proof that he has taken out such insurance himself.<\/p>\n (13) If the purchaser acts in breach of the contract\u2014in particular, in the event of a delay in payment\u2014we are entitled to reclaim the delivered goods after issuing a written notice, and the purchaser is obligated to surrender them. The assertion of our retention of title and our seizure of the delivered goods do not constitute a withdrawal from the contract. <\/p>\n (14) The petition to commence insolvency proceedings entitles us to rescind the contract and demand the immediate return of the goods.<\/p>\n <\/p>\n We provide the following warranty for material defects and defects of title in the delivery, to the exclusion of any further claims\u2014subject to Section 12:<\/p>\n Material Defects<\/span><\/u><\/p>\n (1) Any parts that prove to be defective as a result of circumstances occurring before the transfer of risk shall, at our discretion, be repaired or replaced free of charge. We must be notified in writing of such defects without delay. Replaced parts become our property. <\/p>\n (2) In order for us to carry out any repairs or replacement deliveries that we deem necessary, the purchaser must, after consulting with us, grant us the necessary time and opportunity to do so; otherwise, we are released from liability for any resulting consequences. Only in urgent cases where operational safety is at risk and to prevent disproportionately large damages\u2014in which case we must be notified immediately\u2014does the purchaser have the right to remedy the defect themselves or have it remedied by a third party and to demand reimbursement from us for the necessary expenses. <\/p>\n (3) Of the direct costs incurred as a result of the repair or replacement delivery, we shall\u2014provided the complaint proves to be justified\u2014bear the cost of the replacement part, including shipping free to the border, as well as the reasonable costs of installation and removal, furthermore, within the Federal Republic of Germany, if this can reasonably be required based on the circumstances of the individual case, the costs of any necessary provision of our technicians and assistants. In all other respects, the customer shall bear the costs. If the defect is only minor, the customer is entitled only to a reduction in the contract price. Otherwise, the right to a reduction in the contract price is excluded. <\/p>\n (5) No warranty is provided, in particular, in the following cases: unsuitable or improper use; incorrect installation or commissioning by the customer or third parties; normal wear and tear; improper or negligent handling, failure to perform proper maintenance, unsuitable operating materials, defective construction work, unsuitable foundation soil, and chemical, electrochemical, or electrical influences, provided that we are not responsible for them.<\/p>\n (6) If the purchaser or a third party makes improper repairs, the supplier shall not be liable for any resulting consequences. The same applies to modifications made to the delivered item without the supplier\u2019s prior consent. <\/p>\n (7) If the customer delivers parts or materials for processing or as materials provided by the customer for the fulfillment of an order, no incoming inspection for non-obvious defects will be performed unless expressly agreed otherwise.<\/p>\n (8) If our scope of services includes software for computer systems, the following shall also apply:<\/p>\n a) We warrant that the software provided is free of reproducible defects. However, this warranty is contingent upon the software being used in accordance with the terms of the contract. <\/p>\n b) The customer must notify us immediately of any program errors.<\/p>\n c) We are responsible for correcting any reported defects. If it proves impossible to correct a defect, we must provide an alternative solution <\/p>\n d) If we are unable to fulfill our obligations under c)<\/strong>, the customer may, at its option, either reasonably reduce the agreed-upon compensation (including for equipment whose use is significantly impaired due to the program errors) or demand termination of the contract.<\/p>\n e) We make no warranty that the software provided will meet the specific requirements of the customer<\/p>\n Legal Defects<\/span><\/u><\/p>\n (9) If the use of the delivered item results in an infringement of industrial property rights or copyrights, we shall, at our expense, either secure the right for the purchaser to continue using the item or modify the delivered item in a manner reasonable for the purchaser so that the infringement no longer exists.<\/p>\n (10) If this cannot be done under commercially reasonable terms or within a reasonable period of time, the customer is entitled to terminate the contract. Under the conditions specified above, we are also entitled to terminate the contract. <\/p>\n (11) In addition, we will indemnify the purchaser against any undisputed or legally enforceable claims property rights or copyright.<\/p>\n They are valid only if<\/p>\n a) the customer promptly notifies us of any alleged infringements of intellectual property rights or copyrights,<\/p>\n b) the customer provides us with reasonable assistance in defending against the asserted claims or enables us to implement the modification measures in accordance with Section 11.9,<\/p>\n (c) we reserve the right to take all defensive measures, including out-of-court settlements,<\/p>\n (d) the defect in title is not attributable to an instruction from the purchaser, and<\/p>\n (e) the breach of contract was not caused by the fact that the purchaser independently modified the delivered item or used it in a manner not in accordance with the contract.<\/p>\n <\/p>\n (1) If the delivered item cannot be used by the purchaser in accordance with the contract due to our fault\u2014whether resulting from our failure to implement or the incorrect implementation of suggestions and advice provided before or after the conclusion of the contract, or from a breach of other ancillary contractual obligations \u2014in particular, instructions for the operation and maintenance of the delivered item\u2014the purchaser is unable to use the delivered item in accordance with the contract, then the provisions of Sections 11 and 12.2 shall apply mutatis mutandis, to the exclusion of any further claims by the purchaser.<\/p>\n (2) We are liable for damages that did not occur to the delivered item itself\u2014regardless of the legal grounds\u2014only<\/p>\n a) in cases of intent<\/p>\n (b) in the event of gross negligence on the part of the owner, the governing bodies, or executive officers<\/p>\n c) in the event of a culpable injury to life, body, or health<\/p>\n d) in the case of defects that we fraudulently concealed or whose absence we guaranteed<\/p>\n e) in the event of defects in the delivered item, to the extent that liability exists under the Product Liability Act for personal injury The cost of materials shall be reimbursed in addition, as shall the travel expenses for our staff\u2019s round trip, transportation costs, customs duties, customs fees, and transport insurance for luggage and tools, costs for obtaining identification documents and passports, as well as other out-of-pocket expenses such as telephone charges, etc. <\/p>\n Billing<\/u><\/p>\n (2) The customer shall certify the installation personnel\u2019s work, travel, and waiting times, as well as the work performed, on the installation reports submitted by the installation personnel. The same applies to protective clothing or protective equipment that is required due to special circumstances at the installation site and is not standard practice for us in the industry. In addition, the installation personnel must be informed of the safety regulations relevant to the installation; <\/p>\n d) if our installation personnel become ill or are injured, to ensure they receive immediate medical attention and to notify us without delay;<\/p>\n e) if the installation site is located outside the Federal Republic of Germany, to obtain the necessary entry permits for the installation personnel and any required work permits; to secure in a timely manner all official and other permits required for the execution and installation of equipment and systems; to inform our installation personnel of all obligations (notifications, etc.) vis-\u00e0-vis the local authorities as well as the applicable safety regulations, to support them in their dealings with the authorities, and to assist them in obtaining all certificates that guarantee their freedom of movement within the country as well as their return home at any time with their personal property.<\/p>\n Acceptance<\/u><\/p>\n (5) The purchaser is obligated to accept the installation as soon as it has been notified of its completion. The system shall be deemed accepted following a successful trial commissioning, even if the purchaser has not cooperated in this process despite being requested to do so. <\/p>\n (6) Self-contained parts of the service shall be accepted separately upon request. If the facility has been put into use in whole or in part, or if acceptance is delayed through no fault of ours, acceptance shall be deemed to have taken place two weeks after notification of completion. <\/p>\n (7) The equipment may not be used prior to acceptance without our express consent; any parts of the equipment that have already been installed shall be deemed accepted upon use.<\/p>\n <\/p>\n (1) All claims by the purchaser\u2014regardless of their legal basis\u2014are subject to a 12-month statute of limitations. The statutory limitation periods apply to intentional or fraudulent conduct, as well as to claims under the Product Liability Act. They also apply to defects in a structure or to delivered items that were used in a structure in accordance with their customary use and caused the structure\u2019s defectiveness. <\/p>\n <\/p>\n (1) Even if individual provisions of this contract are legally invalid, the remaining provisions shall remain binding.
